These Terms of Service are provided by Project DIAMOnD, Inc., a Michigan corporation (“Project DIAMOnD,” “we,” “us,” or “our”), which operates the Project DIAMOnD program and related technology infrastructure. By accessing or participating in the Project DIAMOnD program, you agree to be bound by these Terms.

1) Acceptance
By creating an account, accessing, or using the Project DIAMOnD Infrastructure, or by clicking “I Agree,” you accept these Terms. If you do not agree, do not use the Project DIAMOnD Infrastructure. If you accept on behalf of an organization, you represent that you have authority to bind that organization.
Age. You represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
2) Scope; Infrastructure Boundaries
- Project DIAMOnD Infrastructure. These Terms govern your use of the Project DIAMOnD-hosted portal (e.g., Zoho Communities), including onboarding, profile administration, community/academy features, and navigation links (the “Project DIAMOnD Infrastructure”).
- Marketplace (Third-Party Platforms). When you navigate to the Project DIAMOnD Marketplace which is a part of the Project DIAMOnD Infrastructure, you leave Project DIAMOnD-hosted systems and access one or more third-party marketplace, manufacturing, or fulfillment platforms operated by independent platform providers. Marketplace activities—including file uploads, licensing, job requests, quotes, production, delivery, and payments—are conducted through such third-party platforms and are governed by the applicable platform operators’ and payment processors’ terms and policies, not these Terms.
Project DIAMOnD does not control or participate in individual marketplace transactions and is not a party to transactions between marketplace users. For avoidance of doubt, these Terms do not govern your use of third-party platforms except as expressly stated with respect to eligibility, participation, and compliance requirements applicable to the Project DIAMOnD program. - Identity and Business Verification (KYC/KYB). Identity and business verification services, if required for participation in the Project DIAMOnD program, are provided by one or more third-party service providers pursuant to their respective terms and privacy policies.
Clarity: Project DIAMOnD does not host or control marketplace files, job execution, or payment flows. Project DIAMOnD is not a marketplace facilitator or merchant of record under Michigan law.
3) Accounts & Eligibility
- Accuracy. Provide complete and accurate information and keep it up to date.
- Authority. If you act for an organization, you are duly authorized to bind it.
- Credentials. Keep your login secure. You are responsible for activity under your account.
- Debarment. Where applicable, you certify you are not debarred, suspended, or otherwise ineligible under 2 CFR Part 180.
4) Conduct & Acceptable Use
Your use of the Project DIAMOnD Infrastructure is subject tothe Acceptable UsePolicy (AUP), incorporated by reference. Without limiting the AUP:
- No uploading to Project DIAMOnD systems of Controlled Unclassified Information (CUI), export-controlled technical data, orother restricted materials.
- No harassment, fraud, malware, interference, or misrepresentation.
- Comply with applicable laws and internal control standards (e.g., 2 CFR §200.303, where relevant to Project DIAMOnD-supported activities).
- You represent and warrant that you will not use the Project DIAMOnD Infrastructure to facilitate violations of export control, sanctions, or trade compliance laws, including through downstream use of third-party services accessed via the Infrastructure.
Note: Use of third-party marketplace or manufacturing platform is governed by the applicable platform operators’ terms and policies. Project DIAMOnD does not control or administer those platforms or supervise individual marketplace transactions, but may enforce Project DIAMOnD program rules (including eligibility, compliance, and licensing framework requirements) through program-level controls, including access restrictions or removal from the program.
5) Third-Party Services
- Third-Party Platforms and Services. The Project DIAMOnD Infrastructure may provide access to, or integrate with, third-party platforms and services, including marketplace, manufacturing, fulfillment, payment processing, and identity or business verification services (collectively, “Third-Party Services”). Such Third-Party Services are operated by independent providers and are made available to users pursuant to the providers’ own terms, conditions, and privacy policies.
- Marketplace and Transactions. Any marketplace-related activities, including file uploads, licensing, job requests, quotes, production, delivery, and payments, are conducted through Third-Party Services and occur between marketplace participants pursuant to applicable third-party terms and Project DIAMOnD program rules. Project DIAMOnD does not control or participate in individual marketplace transactions and is not a party to transactions between users.
- Payments. Payment processing is performed by third-party payment processors under their respective terms and policies. Project DIAMOnD does not process payments and is not a merchant of record.
- Identity and Business Verification. Identity or business verification services, if required for participation in the Project DIAMOnD program, are provided by one or more Third-Party Services under their own terms and privacy policies. Project DIAMOnD may use verification results for eligibility, compliance, or enforcement purposes.
- Program Oversight. Project DIAMOnD engages Third-Party Service providers pursuant to separate agreements and retains program-level oversight and enforcement authority designed to promote compliance with applicable laws, grant requirements, and Project DIAMOnD program rules. Third-Party Services are provided to users under the providers’ own terms and policies and do not create any warranty or guarantee by Project DIAMOnD regarding third-party performance or compliance.
6) Project DIAMOnD Intellectual Property
- Project DIAMOnD-Owned Materials. All content, materials, documentation, training content, branding, logos, text, graphics, and other works made available by Project DIAMOnD through the Project DIAMOnD Infrastructure (excluding user-generated community content and third-party services) are owned by Project DIAMOnD or its licensors and are protected by applicable intellectual property laws.
- Limited License. Subject to these Terms, Project DIAMOnD grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Project DIAMOnD Infrastructure solely for your participation in the Project DIAMOnD program and only as permitted by these Terms.
- Third-Party IP. The Project DIAMOnD Infrastructure may provide access to or links to third-party software, platforms, content, or services. All such third-party intellectual property is owned by its respective owners and is governed by the applicable third-party terms and policies.
- Trademarks. Project DIAMOnD® is a registered trademark of Automation Alley, Inc. and is used by Project DIAMOnD, Inc. under license. Third-party trademarks are the property of their respective owners.
- Community Content and DMCA. Do not post content that infringes others’ rights. Project DIAMOnD may remove content that allegedly infringes intellectual property or violates the AUP. For Project DIAMOnD-hosted pages only, send DMCA notices to: contact@projectdiamond.org. Project DIAMOnD has no obligation to monitor content posted to Project DIAMOnD-hosted pages but reserves the right to remove content at its discretion.
- Marketplace IP and Licensing. Project DIAMOnD establishes the intellectual property ownership and licensing framework applicable to digital files made available through the marketplace, but does not create, upload, review, approve, or warrant such files. Licenses to marketplace files, if any, are granted between marketplace users in accordance with the Project DIAMOnD licensing terms presented within the Marketplace. Project DIAMOnD is not a party to individual file licenses unless expressly stated. Nothing in this section makes Project DIAMOnD a seller, licensor, manufacturer, or marketplace facilitator with respect to marketplace files or printed parts.
Use of any third-party marketplace, manufacturing, or fulfillment platform accessed through the Project DIAMOnD Infrastructure is governed by the applicable platform operator’s terms and policies with respect to platform functionality and execution. Such third-party terms apply independently of these Terms and do not modify Project DIAMOnD’s program rules, licensing framework, eligibility requirements, or compliance obligations applicable to participation in the Project DIAMOnD program.
7) Disclaimers
- Project DIAMOnD Infrastructure “AS IS”. The Project DIAMOnD Infrastructure is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied.
- Third-party Services. Project DIAMOnD does not make any warranties regarding the availability, performance, or execution of third-party platforms or services, which are operated independently and subject to the providers’ own terms and policies, and for which Project DIAMOnD does not assume transactional responsibility.
Nothing in this Section 7 disclaims or limits Project DIAMOnD’s program rules, licensing framework, eligibility requirements, or compliance obligations applicable to participation in the Project DIAMOnD program.
Nothing in this Section 7 disclaims or limits any non-waivable statutory rights.
8) Limitation of Liability
To the fullest extent permitted by law, Project DIAMOnD and its affiliates, officers, directors, and employees are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits, revenues, goodwill, data, or business interruption, arising out of or related to these Terms or your use of the Project DIAMOnD Infrastructure.
Project DIAMOnD shall have no liability for acts or omissions of third-party platform operators, service providers, payment processors, or other marketplace participants. The limitations in this Section 8 reflect an allocation of risk and form an essential basis of the bargain between you and Project DIAMOnD.
Project DIAMOnD’s aggregate liability for all claims arising out of or relating to these Terms or your access to or use of the Project DIAMOnD Infrastructure will not exceed the greater of $100 or the amounts you paid to Project DIAMOnD (if any) for Project DIAMOnD Infrastructure access in the 12 months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations; these limits apply to the maximum extent permitted by law.
9) Indemnification
You will indemnify, defend, and hold harmless Project DIAMOnD and its affiliates, officers, directors, and employees from and against any claims, demands, actions, proceedings, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) brought by third parties arising out of or related to your breach of these Terms or the AUP, your violation of applicable law, or any content, files, or materials you submit, license, upload, or make available in connection with the Project DIAMOnD program or any third-party platform accessed through the Project DIAMOnD Infrastructure, including claims arising from Project DIAMOnD’s role as program operator or its referral of users to third-party platforms.
10) Public Funding; Records; Compliance
- Funding Acknowledgement. Some Project DIAMOnD activities may be supported by public funds. These Terms do not create any right of payment, benefit, or entitlement from any county, state, or federal entity.
- Records & Audit (Project DIAMOnD Infrastructure only). Where required by applicable law or grant requirements, Project DIAMOnD may provide authorized officials with reasonable access to records and logs maintained by Project DIAMOnD in connection with the Project DIAMOnD Infrastructure, and will notify affected users where permitted.
- No Endorsement. Use of the Project DIAMOnD Infrastructure must not be represented or implied as an endorsement by any county, state, or federal entity.
- Not a Marketplace Facilitator. Project DIAMOnD is not a “marketplace facilitator” or merchant of record under Michigan law (including MCL 205.52 and 205.65). Users are solely responsible for their own tax, reporting, and compliance obligations arising from marketplace transactions.
- Accessibility. Project DIAMOnD is committed to providing reasonable access to the Project DIAMOnD Infrastructure in accordance with applicable disability and accessibility requirements. This commitment applies only to systems and content controlled by Project DIAMOnD and does not extend to third-party platforms or services. Users who require accommodations may contact contact@projectdiamond.org.
- Program Oversight. Marketplace activities are conducted through third-party platforms pursuant to their own terms and policies. Project DIAMOnD does not control or participate in individual marketplace transactions, but retains reasonable program-level oversight and enforcement designed to promote compliance with applicable laws, grant requirements, and Project DIAMOnD program rules. Such oversight does not constitute a warranty or guarantee of third-party compliance and does not make Project DIAMOnD responsible for the acts or omissions of marketplace participants or platform operators.
11) Privacy
Project DIAMOnD Infrastructure. Your use of the Project DIAMOnD Infrastructure is governed by the Project DIAMOnD Privacy Policy, which describes how Project DIAMOnD collects, uses, and protects personal information in connection with Project DIAMOnD-controlled systems.
Third-Party Platforms and Services. When you access third-party platforms or services through the Project DIAMOnD Infrastructure, including marketplace, payment processing, or identity and business verification services, your use of those third-party platforms is governed by the applicable providers’ privacy policies and terms. Project DIAMOnD does not control the privacy practices of third-party platforms, but may receive limited information or verification results from such providers for program eligibility, compliance, or enforcement purposes, as described in the Project DIAMOnD Privacy Policy.
12) Suspension & Termination
- Suspension or Termination of Access and Participation. Project DIAMOnD may suspend or terminate access to the Project DIAMOnD Infrastructure and/or participation in the Project DIAMOnD program for violations of these Terms or the AUP, security risks, fraud or abuse, or legal or regulatory compliance reasons. Where appropriate and feasible, Project DIAMOnD will provide notice of such suspension or termination.
- Modification or Discontinuation of Infrastructure. Project DIAMOnD may modify or discontinue Project DIAMOnD Infrastructure features at any time.
- Voluntary Discontinuation by User. You may stop using the Project DIAMOnD Infrastructure at any time.
- Effect of Suspension or Termination. Upon suspension or termination, Sections intended to survive (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and venue) will survive.
13) Changes to these Terms
- Updates to Terms. We may update these Terms from time to time. Material changes will be posted on the Project DIAMOnD Infrastructure with an updated “Effective date,” and Project DIAMOnD may request re-acknowledgment where appropriate.
- Continued use. Continued use of, or participation in, the Project DIAMOnD Infrastructure after the Effective Date of updated Terms constitutes acceptance of the revised Terms.
14) Governing Law & Venue
- Governing Law. These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles.
- Venue and Jurisdiction. Any dispute arising out of or relating to these Terms or the Project DIAMOnD Infrastructure must be brought exclusively in the state courts located in Oakland County, Michigan, or the United States District Court for the Eastern District of Michigan. You consent to personal jurisdiction and venue in those courts.

16) Miscellaneous
- Entire agreement. These Terms, together with the Acceptable Use Policy and the Project DIAMOnD Privacy Policy, constitute the entire agreement between you and Project DIAMOnD governing your use of the Project DIAMOnD Infrastructure. These Terms do not govern, replace, or modify the terms applicable to any third-party platforms or services accessed through the Project DIAMOnD Infrastructure.
- Severability. If any provision is unenforceable, the remaining provisions will remain in full force and effect.
- Compliance with Law. These Terms are intended to be interpreted and applied in a manner consistent with applicable federal, state, and local laws, regulations, and Project DIAMOnD program requirements. To the extent any provision conflicts with applicable law, such provision will be deemed modified to the minimum extent necessary to comply with such law.
- No waiver. Failure by Project DIAMOnD to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign or transfer these Terms without Project DIAMOnD’s written consent. Project DIAMOnD may assign these Terms to an affiliate or in connection with a reorganization, merger, or similar transaction.
- Export controls. You are responsible for complying with applicable U.S. export controls, sanctions, and related laws in connection with your participation in the Project DIAMOnD program, including any activities conducted through third-party platforms accessed via the Project DIAMOnD Infrastructure. Project DIAMOnD does not provide export classification, authorization, or compliance determinations.
- Marketplace and Third-Party Activities. For clarity, licenses between users, manufacturing activities, fulfillment, regulatory certifications, payment process, and tax handling conducted through third-party platforms are governed by the applicable third-party terms and policies and are outside Project DIAMOnD’s control.
- Restricted and Sensitive Information. You may not use the Project DIAMOnD Infrastructure to upload, transmit, or store Controlled Unclassified Information (CUI), export-controlled technical data, or other restricted or sensitive information except as expressly authorized by Project DIAMOnD in writing. You are responsible for ensuring that any information you provide complies with applicable laws, contractual restrictions, and program requirements.
